Key information on the issuer of YHDL token

The Token Issuer of the YHDL Token according to Liechtenstein Tokens and Trusted Technology Service Provider Act (TVTG) is YHDL AG raising funds in the name and for the account of itself. YHDL AG is a company limited by shares duly incorporated under the laws of Liechtenstein on 09.08.2024 with its registered office at Äulestrasse 74, 9490 Vaduz, Liechtenstein, with commercial register no.: FL-0002.728.650-9.

The purpose of the company is to issue YHDL Tokens, potentially to register for various services in the area of the Token and TT Service Provider Act (TVTG) respectively crypto asset services under MiCAR in Liechtenstein and access the single market of the EEA. It alsopursues the following purposes: The purpose of the company is the design, development, production, exploitation, trading, operation and distribution of software systems and solutions of all kinds, in particular, but not exclusively, the provision of IT solutions in the financial sector, the provision of related services, the holding and management of investments as well as the protection, holding, management and exploitation of intangible assets and property rights of all kinds (IP rights) and other assets, in particular the granting of licenses to its intangible assets and property rights as well as the commercial use of property rights in any form.

In addition, the company offers the provision and brokerage of all types of advisory and consulting services, in particular in the area of emerging markets, including the development, analysis, investigation and implementation of strategies, as well as consulting and training in these areas.

The company is also authorized to carry out all economic and financial transactions and business that serve its purpose or are in the interests of the company.

Activities that require special authorization are excluded, unless the company has the required authorization.

YHDL is currently not regulated by the Liechtenstein FMA.

YHDL is the Token Issuer of YHDL Tokens and facilitates the YHDL Token distribution. This includes the legal issuance of the YHDL Token in YHDL’s role as Token Issuer on its own Behalf.

YHDL also intends to list respectively admit the YHDL Token to trading in Liechtenstein and internationally on crypto asset exchanges.

The Company will issue the tokens on its own behalf and in its own name. It holds the corre-sponding IP rights which may also be licensed. A distribution service agreement is also in-tended with the YouHodler AG platform (Switzerland) for listing/admission to trading there in the future. As part of the YHDL Token issuance by the company, there will also be an airdrop of YHDL Tokens in Liechtenstein.

The YHDL token is integral to YHDL’s loyalty programs, offering benefits where some of them will be available immediately, while others will be made available at a later stage. The YHDL token offers benefits as seen below. Some of the benefits and utility features will be available immediately, while others are planned to be made available at a later stage (if at all).
